Terms and Conditions

1. Definitions

• "Fluxvend", "we", "us", or "our" refers to the Fluxvend platform and its operators.
• "User", "you", or "your" refers to any individual or entity that accesses or uses the Platform.
• "Tenant" refers to a registered business account on Fluxvend, which may have multiple users.
• "Content" refers to any data, text, images, or other materials uploaded, submitted, or generated through the Platform.

2. Account Registration

2.1. You must register for an account to access the Platform. During registration, you must provide accurate and complete information, including your business name, contact details, and a valid email address.

2.2. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account.

2.3. The account owner (Tenant administrator) may invite additional users and assign roles with specific permissions. You are responsible for the actions of all users within your Tenant.

3. Acceptable Use

3.1. You agree to use the Platform solely for its intended purpose: inventory management, point-of-sale operations, stock tracking, reporting, and related business functions.

3.2. You must not:

• Redistribute, resell, sublicence, or provide access to the Platform to unauthorised third parties
• Reverse-engineer, decompile, or attempt to extract the source code of the Platform
• Use the Platform for any unlawful purpose, including fraud, money laundering, or handling of illegal goods
• Interfere with or disrupt the Platform's infrastructure, security, or other users' access
• Upload malicious content, viruses, or code designed to harm the Platform or its users

4. Subscriptions and Payments

4.1. Access to certain features requires a paid subscription. Available plans, pricing, and billing cycles are displayed on the Platform.

4.2. Payments are processed through Paystack. By subscribing, you authorise recurring charges according to your selected billing cycle (monthly or annual).

4.3. All fees are non-refundable except where required by applicable law or at our sole discretion.

4.4. We reserve the right to modify pricing with at least 30 days' notice before the change takes effect for your next billing cycle.

5. Your Content and Data

5.1. You retain ownership of all Content you upload or create on the Platform, including product data, customer records, sales transactions, and reports.

5.2. You grant Fluxvend a limited, non-exclusive licence to store, process, and display your Content solely for the purpose of providing and improving the Platform.

5.3. You are responsible for the accuracy and legality of all Content you submit. Fluxvend does not monitor or pre-screen user Content.

5.4. You may export your data at any time through the Platform's export features (CSV downloads, PDF invoices).

6. Intellectual Property

6.1. Fluxvend and its licensors retain all rights, title, and interest in the Platform, including all software, designs, trademarks, logos, and documentation.

6.2. Nothing in these Terms grants you any right to use Fluxvend's branding, logos, or proprietary materials without prior written consent.

7. Service Availability

7.1. We strive to maintain high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

7.2. We will make reasonable efforts to notify users of planned maintenance in advance.

8. Account Suspension and Termination

8.1. We reserve the right to suspend or terminate your account if you:

• Violate these Terms or any applicable law
• Engage in fraudulent or criminal activity
• Attempt to resell, redistribute, or misuse the Platform
• Fail to pay subscription fees after reasonable notice

8.2. You may close your account at any time by contacting our support team. Upon closure, your access will be revoked and your data will be handled in accordance with our Privacy Policy.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, Fluxvend shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

9.2. Fluxvend is not liable for any loss of data, revenue, or business opportunities resulting from technical failures, service interruptions, or third-party actions.

9.3. Our total liability for any claim shall not exceed the amount you paid to Fluxvend in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Fluxvend harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Dispute Resolution

11.1. Any disputes arising from these Terms shall first be addressed through good-faith negotiation between the parties via email, video call, or in-person meeting.

11.2. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the laws of the Federal Republic of Nigeria.

11.3. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

12. Changes to These Terms

12.1. We may update these Terms from time to time. When we make material changes, we will notify you via email and through a notice on the Platform at least 14 days before the changes take effect.

12.2. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
